Incorporation Of A Subsidiary In New Zealand

The Board of Directors of Loyz Energy Limited (the "Company") wishes to announce that its wholly-owned subsidiary, Loyz Oil Pte. Ltd. ("Loyz Oil") had incorporated a subsidiary, Loyz NZ Ventures Limited ("Loyz NZ") in New Zealand on 25 July 2012.

The issued and paid-up capital of Loyz NZ is USD100, comprising 100 ordinary shares. Loyz Oil has an interest of 51% of the shareholdings in Loyz NZ, comprising 51 ordinary shares at a total consideration of USD51. The balance interest of 49%, comprising 49 ordinary shares, is held by Emas Energy Services Pte Ltd ("EMAS").

Mr Lionel Lee Chye Tek is a controlling shareholder of both the Company and Ezra Holdings Limited, which holds the entire shareholdings of EMAS.

The main activity of Loyz NZ is to explore business opportunities in the oil and gas sector.

The incorporation of Loyz NZ was funded through internal resources and is not expected to have any significant effect on the consolidated net tangible assets and earnings per share of the Company and the Group for the financial quarter ending 30 September 2012.

Save as aforesaid, other than interests held through the Company as shareholders, none of the Directors and controlling shareholders of the Company has an interest, direct or indirect, in the setting up of Loyz NZ.
