Incorporation Of A Subsidiary In New Zealand

The Board of Directors of Loyz Energy Limited (the "Company") wishes to announce that its wholly-owned subsidiary, Loyz Oil Pte. Ltd. had incorporated a wholly-owned subsidiary, Loyz Oil New Zealand Limited ("LONZ") in New Zealand on 24 February 2012.

The issued and paid-up capital of LONZ is NZD 100, comprising 100 shares. The main activities of LONZ are as follows :-

a) investment holding; and
b) exploration and production of oil and gas

The incorporation of LONZ was funded through internal resources and is not expected to have any significant effect on the consolidated net tangible assets and earnings per share of the Company and the Group for the financial year ending 30 June 2012.

Other than interests held through the Company as shareholders, none of the directors, controlling shareholders or substantial shareholders of the Company has an interest, direct or indirect, in the setting up of LONZ.
